https://www.korp.ph (“KORP”) is owned and operated by KORPORASYON BUSINESS SOLUTIONS AND SUPPORT SERVICES INC. (the “Corporation”).

KORP is a digital platform that makes incorporation and compliance effortless, empowering entrepreneurs to build proudly and confidently from the Philippines for the world.

By using the KORP digital platform, the user agrees to accept the following terms and conditions contained in this Terms of Use (“TOU”).

Definition of Terms

KORP Services

Online facilities and business support services that assist users in the registration and maintenance of companies in the Philippines, including but not limited to:

  • Registration with the Securities and Exchange Commission (SEC)
  • Bureau of Internal Revenue (BIR)
  • Relevant Local Government Units (LGUs)
  • Corporate secretarial services
  • Compliance with government requirements

User

Any entity that uses or accesses KORP by any means or for any purpose.

Registered User

A User who creates an account to:

  • Establish a company in the Philippines, or
  • Explore the Philippine market as an owner or representative of an existing corporation

Account

The KORP account registered by a User to avail of KORP Services.

Scope and General Limitation

KORP provides business support services and maintenance for corporations established or to be established in the Philippines.

KORP may be used to:

  • Manage information and requirements for SEC, BIR, and LGU registration
  • Manage business registration and client records
  • Generate status reports on availed services

Terms of Use

Registration

To avail of KORP Services, a User must create an Account on the KORP platform.

The User must ensure that all submitted information is:

  • Accurate
  • True
  • Up-to-date

Any changes to submitted information must be promptly reported to KORP.

The Services

The information in this TOU and on KORP constitutes an offer for the sale of services.

To avail of KORP Services:

  1. The User must complete the online registration process
  2. The User will receive a Confirmation detailing the requested services
  3. Upon confirmation and payment, KORP will facilitate service delivery

Disclaimer of Liability

KORP shall not be responsible for any damages, including but not limited to:

  • Direct or indirect damages
  • Special, consequential, punitive, or incidental damages
  • Loss of use, profits, data, goodwill, or reputation
  • Cost of substitute goods or services

Such damages may arise from:

  • The legitimacy, accuracy, or validity of documents submitted by the User
  • Delays or failures caused by events beyond reasonable control, including:
    • Strikes, lockouts, riots, or civil disturbances
    • War, terrorism, or threats thereof
    • Acts of God, epidemics, fires, floods, or natural disasters
    • Government acts, legislation, or regulations

Performance obligations shall be reasonably extended for the duration of such delays.

The User agrees to indemnify and hold harmless the Corporation, including its directors, officers, employees, agents, consultants, and affiliates, against all third-party claims arising from:

  • The above circumstances
  • Breach of this TOU

Intellectual Property Policy

All content on KORP, including:

  • Site design
  • Text, graphics, images
  • Logos, data compilations, downloads
  • Campaign titles and directories

is the property of the Corporation and protected by intellectual property laws.

Users may store, print, and display content for personal use only.

Users may not:

  • Publish or distribute content
  • Modify or reproduce content
  • Use content for commercial purposes

“KORP.PH” is a trademark of the Corporation and may not be used in any manner that:

  • Causes confusion
  • Disparages or discredits the Corporation

All authorship and ownership must be properly acknowledged.

Breach of intellectual property rights will result in immediate termination of access to KORP.

Intrusion Detection and Security

All activity on KORP may be monitored and recorded.

Monitoring data may be shared with law enforcement if criminal or suspicious activity is detected.

Security systems may collect technical data related to unauthorized access or tampering, but do not intentionally identify individuals.

Prohibitions

Users agree not to use KORP for unlawful purposes.

Users are prohibited from:

  • Creating multiple accounts
  • Transmitting malicious or harmful material
  • Hacking or attempting to disrupt KORP systems
  • Harassing or infringing on the rights of others
  • Sending unsolicited advertising or promotions
  • Committing or encouraging criminal activity

Notices and Amendments

The Corporation may amend this TOU at any time.

Amendments will be:

  • Posted on KORP
  • Sent or displayed within User Accounts

Continued use of KORP constitutes acceptance of updated terms.

Notices

Notices must be in writing and delivered by mail or email.

By mail:

Deemed served within two (2) business days from mailing within the Philippines.

By email:

Deemed served within two (2) business days from sending.

Liability

Violation of this TOU, misuse of KORP, or misrepresentation may result in administrative, civil, or criminal liability under applicable law.

No Waiver

Failure to enforce any provision of this TOU does not constitute a waiver of future enforcement.

Third-Party Rights

No third party shall acquire rights or benefits under this TOU.

Governing Law

This TOU shall be governed by the laws of the Republic of the Philippines.

Venue

All disputes shall fall under the exclusive jurisdiction of the courts of Makati City, Philippines, without prejudice to applications for urgent or interim relief.
